1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “guest”) and LaVerdiere Hotels, LLC, doing business as Maine Retreats (“Maine Retreats,” “we,” “us,” or “our”). These Terms govern your access to and use of our website located at https://maineretreatshotels.com (the “Website”), our reservation and booking systems, our short message service (SMS) and email communications, and any related services we provide (collectively, the “Services”).

By accessing or using the Services, making a reservation, providing your contact information to us, or opting in to receive communications from us, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, available at https://maineretreatshotels.com/privacypolicy, which is incorporated into these Terms by reference. If you do not agree with these Terms, please do not use the Services.

2. Eligibility

You must be at least eighteen (18) years of age and capable of entering into a legally binding contract to use the Services or make a reservation. By using the Services, you represent and warrant that you meet these eligibility requirements. The Services are not intended for, and may not be used by, children under the age of 13.

3. Reservations and Bookings

A. Booking Confirmation

When you make a reservation through the Services, you are submitting an offer to book accommodations under the rate, terms, and conditions presented to you at the time of booking. Your reservation is not confirmed until you receive a confirmation from us by email, SMS, or other means. We reserve the right to refuse or cancel any reservation in our reasonable discretion.

B. Accuracy of Information

You agree to provide accurate, current, and complete information when making a reservation or interacting with the Services. You are responsible for keeping your contact information current so that we can communicate with you about your reservation and stay.

C. Rates, Taxes, and Fees

Rates displayed at the time of booking are quoted in U.S. dollars and are subject to applicable taxes, fees, and surcharges, including but not limited to state and local lodging taxes, sales taxes, resort or amenity fees, cleaning fees, and any other charges disclosed at the time of booking or required by law. Rates may change without notice for reservations not yet booked.

D. Payment

Payment is processed through our third-party payment processors. You authorize us and our payment processors to charge your payment method for the total amount due, including all applicable taxes, fees, and any incidental charges incurred during your stay. You represent and warrant that you are authorized to use the payment method you provide.

E. Cancellation and Modification

Each reservation is subject to the cancellation and modification policy disclosed to you at the time of booking. You are responsible for reviewing and complying with the applicable policy. Cancellation or modification outside the permitted window may result in forfeiture of your deposit, cancellation fees, or charges for the full reservation.

F. Check-In, Check-Out, and Stay Policies

Check-in and check-out times, occupancy limits, age requirements, identification requirements, pet policies, smoking policies, quiet hours, parking rules, and other on-property policies are disclosed at the time of booking or at check-in. You agree to comply with all property rules during your stay. We reserve the right to refuse service or terminate a stay, without refund, if you or any member of your party violates our policies or applicable law, damages the property, or behaves in a manner that we determine threatens the safety, comfort, or enjoyment of other guests or our staff.

G. Damages and Incidentals

You are responsible for any damage to the property, missing items, excessive cleaning costs, or other charges incurred during your stay, and you authorize us to charge your payment method on file for such amounts.

4. SMS / Text Message Program Terms

Important: This Section 4 describes the terms of our text messaging (SMS) program. By providing your mobile phone number to us and opting in to receive text messages from Maine Retreats, you agree to these SMS Terms. These SMS Terms are in addition to, and supplement, the rest of these Terms and our Privacy Policy.

A. Program Description

Maine Retreats offers a text messaging program that allows us to communicate with you about your reservation and stay, send reservation and service-related information, and (where you have so consented) send occasional promotional offers. By opting in to our SMS program, you agree to receive recurring automated text messages from us at the mobile phone number you provided.

B. Consent and Opt-In

You opt in to receive SMS messages by (1) providing your mobile phone number to us during the booking process or at check-in and affirmatively indicating your consent to receive text messages, (2) replying to a confirmation message in the affirmative, or (3) otherwise providing express written consent to receive text messages from us. Your consent to receive SMS messages is not a condition of making a reservation or receiving any goods or services from us.

C. Types of Messages

Messages you may receive include:

  • Booking and reservation confirmations
  • Reservation reminders and pre-arrival information
  • Check-in instructions, access codes, and check-out reminders
  • Guest service communications during your stay
  • Service alerts, schedule changes, and operational notices
  • Customer support responses to your inquiries
  • If separately opted in, promotional offers, discount codes, and marketing messages from Maine Retreats

D. Message Frequency

Message frequency varies based on your reservation activity, your stay, and your communication preferences. You may receive multiple messages in connection with a single reservation or stay.

E. Message and Data Rates

Message and data rates may apply. Standard message and data rates charged by your mobile carrier may apply to each message we send or that you send to us. Please consult your mobile carrier’s plan for details. Maine Retreats is not responsible for any charges imposed by your mobile carrier.

F. HELP Instructions

For help, reply HELP to any text message you receive from us, or contact us using the information in Section 15 below. Replying HELP will return a message with our contact information and a brief description of the program.

G. STOP Instructions / Opt-Out

To opt out, reply STOP to any text message you receive from us. After you send STOP, you will receive one final confirmation message acknowledging your opt-out, and you will no longer receive SMS messages from us, except as may be required to confirm your opt-out. If you wish to opt back in to the SMS program, you may do so by following the opt-in process described in Section 4(B) above.

H. Carrier Disclaimer

Carriers (including, but not limited to, AT&T, T-Mobile, Verizon, U.S. Cellular, and their respective affiliates) are not liable for delayed or undelivered messages. We are not responsible for technical problems, message delays, or failures caused by your wireless carrier, your device, or your network connection.

I. Supported Carriers

Our SMS program is generally compatible with major U.S. wireless carriers. Service may not be available on all carriers or in all areas at all times. We may, in our sole discretion, modify or discontinue support for any carrier at any time without notice.

J. Privacy and Mobile Information

Our handling of your mobile phone number, SMS opt-in data, and SMS message content is governed by our Privacy Policy. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Information sharing to subcontractors in support of services provided to us (e.g., SMS messaging platforms like Twilio) is permitted. All other categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

K. Changes to the SMS Program

We reserve the right, in our sole discretion, to modify, suspend, or terminate the SMS program, in whole or in part, at any time, with or without notice. We may also modify these SMS Terms at any time by posting an updated version on our Website. Your continued participation in the SMS program after such modifications constitutes your acceptance of the modified terms.

5. Email Communications

By providing your email address to us, you agree to receive transactional emails relating to your reservation, stay, and account, as well as (where you have so consented) promotional emails from Maine Retreats. You may opt out of promotional emails at any time by clicking the “unsubscribe” link in any promotional email or by contacting us using the information in Section 15 below. Even if you opt out of promotional emails, we may continue to send you transactional and service-related communications.

6. Acceptable Use of the Services

You agree not to use the Services in any way that:

  • Violates any applicable federal, state, local, or international law or regulation
  • Infringes any patent, trademark, trade secret, copyright, or other intellectual property right of any party
  • Constitutes fraudulent, deceptive, or misleading activity, including making a reservation under a false identity or using a stolen or unauthorized payment method
  • Interferes with or disrupts the Services, our servers, or networks connected to the Services
  • Attempts to gain unauthorized access to any portion of the Services, our systems, or any other systems or networks connected to the Services
  • Uses any automated means (including bots, scrapers, or crawlers) to access or collect information from the Services without our express written permission
  • Harasses, threatens, defames, or harms any other person, including our staff or other guests

7. Intellectual Property

All content on the Website and in the Services, including text, graphics, logos, images, photographs, audio, video, software, and the selection and arrangement thereof, is owned by Maine Retreats or our licensors and is protected by United States and international copyright, trademark, and other intellectual property laws. Except as expressly authorized by us in writing, you may not copy, reproduce, distribute, publish, display, perform, modify, create derivative works from, transmit, or otherwise exploit any content from the Services.

“Maine Retreats,” the Maine Retreats logo, and other names, logos, and marks used in connection with the Services are trademarks of LaVerdiere Hotels, LLC. You may not use these marks without our prior written permission.

8. Third-Party Services and Booking Platforms

The Services may include or interoperate with third-party services, including online travel agencies, booking platforms, payment processors, SMS providers, mapping services, and analytics providers. We are not responsible for the content, accuracy, availability, terms, policies, or practices of any third-party service, and your use of any third-party service is at your own risk and subject to that third party’s terms and conditions.

If you make a reservation through a third-party booking platform (such as Airbnb, Vrbo, Booking.com, Expedia, or similar services), that platform’s terms of service also apply to your reservation, and in the event of a conflict between those terms and these Terms with respect to the booking process, the terms of the booking platform will control as between you and that platform.

9. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES, THE WEBSITE, AND ALL CONTENT, MATERIALS, AND INFORMATION PROVIDED THROUGH THEM ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. MAINE RETREATS DISCLAIMS ALL WARRANTIES, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MAINE RETREATS, ITS AFFILIATES, OR ITS OR THEIR RESPECTIVE OFFICERS, DIRECTORS, MEMBERS, MANAGERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) THE SERVICES, ANY RESERVATION OR STAY, OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

To the maximum extent permitted by applicable law, our total aggregate liability arising out of or in connection with these Terms or your use of the Services will not exceed the greater of (a) the total amount you paid to us for the reservation giving rise to the claim during the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Maine Retreats, its affiliates, and its and their respective officers, directors, members, managers, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with (a) your use of the Services, (b) your violation of these Terms, (c) your violation of any law or the rights of any third party, or (d) any damage you cause to the property or to other guests or our staff during your stay.

12. Governing Law and Dispute Resolution

A. Governing Law

These Terms and any dispute arising out of or in connection with these Terms or the Services are governed by and construed in accordance with the laws of the State of Maine, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
B. Venue

Subject to Section 12(C), any action or proceeding arising out of or in connection with these Terms or the Services must be brought exclusively in the state or federal courts located in Penobscot County, Maine, and you consent to the personal jurisdiction of such courts.
C. Informal Dispute Resolution

Before initiating any formal legal proceeding, you agree to first contact us using the information in Section 15 and attempt to resolve the dispute informally. We will attempt to resolve the dispute in good faith within thirty (30) days of receiving your notice.

13. Termination

We may suspend or terminate your access to the Services, refuse any reservation, or terminate a stay at any time, in our sole discretion, with or without notice, including for any violation of these Terms. Upon termination, the provisions of these Terms that by their nature should survive will survive, including, without limitation, Sections 7 (Intellectual Property), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), 12 (Governing Law and Disputes), and this Section 13.

14. Changes to These Terms

We may modify these Terms from time to time by posting an updated version on the Website. When we make material changes, we will update the “Last Updated” date at the top of these Terms and, where appropriate, provide notice to you (for example, by email or by a notice on the Website). Your continued use of the Services after the effective date of any modified Terms constitutes your acceptance of the modified Terms.

16. Miscellaneous

A. Entire Agreement

These Terms, together with our Privacy Policy and any other policies or agreements referenced in or incorporated into these Terms, constitute the entire agreement between you and Maine Retreats regarding your use of the Services and supersede any prior or contemporaneous agreements, communications, or proposals, whether oral or written, between you and us regarding the Services.

B. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will continue in full force and effect.

C. No Waiver

Our failure to enforce any provision of these Terms is not a waiver of our right to do so later. No waiver of any provision of these Terms will be effective unless in writing and signed by an authorized representative of Maine Retreats.

D. Assignment

You may not assign or transfer these Terms or any of your rights or obligations under these Terms without our prior written consent. We may assign these Terms in whole or in part at any time without notice to you.
